The legal framework governing all Umer Xpert engagements.

1. Agreement

By engaging Umer Xpert (Umer Malik) for software development services, you agree to these terms. These terms govern all project engagements unless a separate written contract is in place — in which case the written contract takes precedence.

2. Deliverables & IP Ownership

On receipt of final payment, full intellectual property ownership transfers to the client. This includes all source code, assets, documentation, and configurations. Umer Xpert retains no rights to use, distribute, or sell the deliverables.

3. Payment

Projects are priced on a fixed-price or milestone basis, agreed before work begins. Invoices are due within 7 days of issue. Late payment may pause active work. All prices exclude applicable taxes unless stated.

4. Revisions & Scope

Each project includes a defined scope. Changes to scope require a written change request and may affect price and timeline. Minor revisions within scope are included at no extra cost.

5. Confidentiality

Umer Xpert treats all client information, business logic, and project details as strictly confidential. NDAs are available on request at no charge.

6. Liability

Umer Xpert liability is limited to the total fees paid for the specific project. We are not liable for indirect losses, loss of revenue, or third-party platform failures beyond our control.
